Client Terms of Use
1. Acceptance of Terms
These Client Terms of Use (the "Terms") are a binding legal agreement between you ("you," "your," or "Client") and Soqratic Studios, Inc. ("Soqratic," "we," "us," or "our"). These Terms govern your use of the Soqratic platform, including how subscriptions with independent Creators work.
By creating an account, subscribing to a Creator's AI bot, or using our Services, you agree to these Terms. If you don't agree, you may not use the Services.
IMPORTANT: When you subscribe to a Creator's bot, you are entering into a direct agreement with that Creator (who is the Merchant of Record), not with Soqratic. We provide the platform and facilitate the transaction, but the Creator is the seller. See Section 5.1 for details.
1.1 Age Requirement
You must be at least 18 years old to use the Services. By using the Services, you represent that you are 18 or older. If you're under 18, you may not create an account or use the Services.
1.2 On Behalf of an Organization
If you're using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. In that case, "you" refers to both you individually and that organization.

1.4 Electronic Communications
By creating an account or using the Services, you consent to receive contracts, disclosures, notices, and other communications from Soqratic and Creators electronically (including by email and in-product notices). These electronic communications satisfy any legal requirement that such communications be in writing.
2. Definitions
"Services" means the Soqratic platform that enables you to access and interact with AI bots created by Creators, including chat interfaces, voice features, subscription management, conversation history, and all related features.
"Creator" means the individual or business that created and operates the AI bot you're accessing. The Creator is an independent third party - not an employee or agent of Soqratic.
"AI Bot" or "Bot" means the artificial intelligence conversational agent created by a Creator using our platform. The Bot is trained on the Creator's content and methodology.
"Bot Output" means any responses, content, or information generated by the AI Bot during your conversations.
"Subscription" means your paid plan providing access to a Creator's AI Bot.
3. Understanding AI Bots: What They Are and Aren't
This section is important. Please read it carefully.
3.1 What AI Bots Are
AI Bots are:
- Computer programs powered by artificial intelligence and machine learning
- Trained on the Creator's content - including their writing, methodologies, frameworks, and expertise
- Designed to simulate the Creator's knowledge and communication style
- Intended for informational, educational, and entertainment purposes
3.2 What AI Bots Are NOT
AI Bots are NOT:
- Human beings - They're software, not the actual Creator
- Perfect or infallible - They can and do make mistakes
- Professional advisors - They don't provide professional services
- Up-to-date in real-time - Their knowledge has a cutoff date based on training data
- Appropriate for critical decisions - Don't rely on them for important matters
3.3 Known Limitations and Risks
You should be aware that AI Bots:
- May "hallucinate" - This means they can generate false or misleading information that sounds plausible but is actually incorrect. They may invent facts, make up sources, or provide inaccurate details with confidence.
- May be outdated - Bot responses are based on training data that has a cutoff date. Information about current events, recent developments, or time-sensitive topics may be incomplete or wrong.
- May misunderstand context - AI Bots can misinterpret your questions, miss nuance, or fail to grasp the specific context of your situation.
- May give inappropriate advice - Responses might not be suitable for your specific circumstances, even if they seem relevant.
- May lack human judgment - AI cannot replicate human wisdom, intuition, ethical reasoning, or empathy in the way a real professional can.
3.4 Not Licensed Professional Advice
IMPORTANT: Bot Output does NOT provide licensed professional advice of any kind.
AI Bots do NOT provide:
- Medical, health, or mental health advice or diagnosis
- Legal advice or legal representation
- Financial, investment, or tax advice
- Professional counseling, therapy, or psychological treatment
- Engineering, architectural, or technical professional services
- Accounting or audit services
- Any other licensed professional services
If you need licensed professional advice, consult a qualified, licensed professional in the relevant field.
3.5 Your Responsibility
You use AI Bots entirely at your own risk. You are responsible for:
- Evaluating all Bot Output for accuracy and appropriateness
- Verifying information before relying on it or taking action
- Making your own independent decisions based on your judgment
- Consulting qualified professionals for important matters
- Understanding the limitations described in this section
By using an AI Bot, you acknowledge that you understand these limitations and accept the risks.
4. Account Requirements
4.1 Creating an Account
To access AI Bots and subscribe to Creators, you need to create an account. When you sign up, you must:
- Provide accurate, complete, and current information
- Choose a unique username and strong password
- Provide a valid email address
- Keep your information up to date
Providing false information or using someone else's information is prohibited and grounds for account termination.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and login credentials
- All activities that occur under your account, even if unauthorized
- Notifying us immediately at support@soqratic.com if you suspect unauthorized access
You agree NOT to:
- Share your account credentials with anyone
- Let others access your account
- Create multiple accounts to evade restrictions or abuse the service
- Use someone else's account without permission
- Sell, trade, or transfer your account
5. Subscriptions and Payments
5.1 Understanding the Payment Relationship
This is important: When you subscribe to a Creator's AI Bot:
- You are paying the Creator directly - The Creator is the seller and Merchant of Record
- You are entering into a subscription agreement with the Creator - not with Soqratic
- Soqratic facilitates the transaction - We provide the platform and payment processing infrastructure
- Soqratic is NOT the seller - We're not a party to your subscription agreement with the Creator
What this means for you:
- Your payment goes to the Creator (minus our platform commission)
- The Creator controls pricing, features, and refund policies for their Bot
- Billing appears on your statement from the Creator (via Stripe)
- Subscription terms are set by the Creator within our platform rules
5.2 Payment Processing
All payments are processed securely through Stripe, a third-party payment processor. By subscribing, you agree to:
Soqratic does not store your full payment card information. Your payment details are securely stored by Stripe.
5.3 Recurring Billing and Auto-Renewal
IMPORTANT: Subscriptions automatically renew unless you cancel.
How auto-renewal works:
- At the end of each billing period (monthly or annual), your subscription automatically renews for another period
- You'll be charged the then-current price (which may differ from your original price if the Creator has changed it)
- No additional authorization is required for renewal charges
- You'll receive a receipt after each successful charge
To avoid being charged for the next period:
- You must cancel before your renewal date
- Cancellations take effect at the end of the current billing period (you keep access until then)
- No refunds for the current period
6. Using the Service
6.1 Acceptable Use
You agree to use the Services:
- In compliance with all applicable laws and regulations
- In accordance with these Terms and our Community Guidelines
- Respectfully and ethically
- For lawful purposes only
6.2 Prohibited Conduct
You may NOT:
- Harass, abuse, or harm others - Use Bots to harass, threaten, intimidate, or abuse anyone
- Generate prohibited content - Illegal content, child sexual abuse material, non-consensual intimate imagery, content promoting terrorism or violence
- Attempt to manipulate or abuse the AI - "Jailbreak" the Bot to bypass safety restrictions, trick the Bot into generating prohibited content
- Violate intellectual property rights - Use Bots to infringe copyrights, trademarks, or other IP rights
- Abuse the platform - Share login credentials, create multiple accounts to evade restrictions, use automated tools to access the Services
- Upload harmful code - Malware, viruses, trojans, or other malicious software
6.3 Consequences of Violations
If you violate these Terms or engage in prohibited conduct:
- We may immediately suspend or terminate your account without notice
- The Creator may revoke your access to their AI Bot
- We may report illegal activity to law enforcement
- You may be liable for damages caused by your violations
7. Privacy and Data Protection
7.1 Privacy Policy
Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect your information.
7.2 Creator Access to Your Conversations
IMPORTANT: The Creator can see your conversations with their AI Bot.
Creators have access to:
- Full conversation transcripts
- Conversation summaries and analytics
- Usage patterns and engagement metrics
Why: This enables Creators to improve the Bot based on real interactions, provide human follow-up or support, and monitor Bot quality.
Your responsibility: Do NOT share sensitive, confidential, or highly personal information in conversations if you don't want the Creator to see it. Examples of information you should NOT share:
- Medical conditions or health records
- Financial details (bank accounts, SSN, credit cards)
- Legal issues or confidential legal matters
- Highly personal or intimate details you want kept private
8. Intellectual Property
8.1 Soqratic's IP
The Soqratic platform, website, software, branding, and all related content are owned by Soqratic and protected by copyright, trademark, and other intellectual property laws.
8.2 Creator's IP
AI Bots are created by Creators using their own intellectual property. The Creator owns the underlying content used to train the Bot, the Creator's branding, and Bot Output generated by their AI Bot.
8.3 Your License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Soqratic platform
- Interact with AI Bots you've subscribed to
- View and use Bot Output for your personal, non-commercial purposes
8.4 Bot Output Ownership and Use
Bot Output is owned by the Creator (subject to applicable law). You receive a license to:
- Use Bot Output for your personal, non-commercial purposes
- Save and reference Bot Output for your own use
- Share Bot Output with proper attribution to the Creator
You may NOT:
- Represent Bot Output as your own original work
- Use Bot Output for commercial purposes without the Creator's express permission
- Train AI models with Bot Output
- Create competing products
9. Cancellation and Refunds
9.1 How to Cancel
You can cancel your subscription anytime through:
- Stripe Billing Portal - Access through your Soqratic account settings
- Account Settings - Go to your Soqratic account settings and cancel there
- Email - Email support@soqratic.com with your account email and the subscription you want to cancel
9.2 When Cancellation Takes Effect
When you cancel:
- Cancellation is confirmed immediately - You'll receive a confirmation email
- Access continues through current period - You keep full access until the end of your paid billing period
- No refund for unused time - You're not refunded for the remainder of the current period
- No future charges - Your subscription won't renew, and you won't be charged again
9.3 Refund Policy
Subscriptions are generally non-refundable once purchased. However, refunds may be issued:
- At Creator's discretion - The Creator may choose to issue refunds on a case-by-case basis
- As required by law - In jurisdictions with statutory cooling-off periods or consumer protection laws
- For billing errors - If you were charged incorrectly due to technical error
- For unauthorized charges - If your payment method was used without your authorization

10. Service Changes and Termination
10.1 Service Modifications
We may modify, update, or change the Services at any time, including adding or removing features, changing how features work, and improving performance or security.
10.2 Termination by You
You may terminate your account anytime by canceling all active subscriptions, deleting your account through account settings, or emailing support@soqratic.com requesting account closure.
10.3 Termination by Soqratic
We may suspend or terminate your account immediately if you violate these Terms, engage in illegal activity, upload prohibited content, harass or threaten others, or attempt to hack or compromise the Services.
11. Disclaimers and Limitations of Liability
11.1 "AS-IS" Service Disclaimer
THE SERVICES AND AI BOTS ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
We make no promises that the Services will work perfectly, AI Bots will provide accurate responses, the Services will be available 24/7, or Bot Output will be suitable for your needs.
11.2 AI-Specific Disclaimers
We specifically disclaim any warranty that AI Bots will provide accurate information, Bot Output will be appropriate for your situation, AI Bots understand context like humans, or Bot Output is suitable for professional, medical, legal, financial, or other critical decisions.
YOU USE AI BOTS AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR ANY CONSEQUENCES OF RELYING ON BOT OUTPUT.
11.3 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE TOTAL AGGREGATE LIABILITY OF SOQRATIC AND ANY CREATOR TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE LESSER OF:
- (a) ONE HUNDRED DOLLARS ($100), OR
- (b) THE TOTAL AMOUNT YOU PAID FOR SUBSCRIPTIONS IN THE 12 MONTHS BEFORE THE CLAIM
12. Dispute Resolution and Arbitration
12.1 Informal Resolution First
Before filing any legal claim, you agree to try to resolve disputes informally. Send written notice to support@soqratic.com with your name, account email, detailed description of the dispute, and what you want as a resolution. We'll work together to resolve the issue through good faith negotiation for 30 days.
12.2 Binding Arbitration
IF INFORMAL RESOLUTION FAILS, YOU AGREE THAT DISPUTES WILL BE RESOLVED BY BINDING ARBITRATION, NOT IN COURT.
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
12.3 Class Action Waiver
YOU AND SOQRATIC AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.
YOU WAIVE ANY RIGHT TO:
- Participate in a class action lawsuit
- Participate in a class arbitration
- Bring a representative action on behalf of others
- Consolidate your claims with other users' claims
12.4 Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW: YOU AND SOQRATIC WAIVE THE RIGHT TO A JURY TRIAL.
12.5 Opt-Out Right
YOU MAY OPT OUT OF ARBITRATION by sending written notice within 60 days of first agreeing to these Terms. Send an email to legal@soqratic.com with your full name, account email address, and a clear statement: "I opt out of the arbitration agreement."
13. General Terms
13.1 Entire Agreement
These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Soqratic regarding the Services.
13.2 Modifications to Terms
We may modify these Terms at any time. For material changes, we'll provide at least 14 days' advance notice via email and/or platform notification. Continued use after changes = acceptance.
13.3 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.
13.4 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified or severed, and all other provisions remain in full force and effect.

Acknowledgment and Acceptance
By creating an account, subscribing to a Creator's AI Bot, or otherwise using the Services, you acknowledge that you have read and understood these Terms, agree to be legally bound by these Terms, meet the age requirement (18 or older), understand the nature and limitations of AI Bots, accept the disclaimers and limitations of liability, and agree to arbitration and waive class actions and jury trial.
